The $110 billion deal cleared its last courtroom this week — and the clearest clue about which app is getting buried came not from a press release, but from an exit.

It's actually happening. On September 30, U.S. District Judge Araceli Martínez-Olguín approved the antitrust settlement between Paramount Skydance and a twelve-state coalition, clearing the $110 billion takeover of Warner Bros. Discovery to close on October 6. Once it does, Paramount's stated plan kicks in: Paramount+ and HBO Max fold into a single streaming service with north of 200 million subscribers — 79 million from Paramount+, 128 million from HBO Max — instantly the world's No. 2 streamer behind Netflix and comfortably ahead of Disney+. David Ellison's pitch, from the investor call where he announced it:

"Our combined company will be home to many of the greatest, most recognizable and beloved franchises in the world."

Follow the executives, not the press releases

Officially, the surviving platform has no confirmed name. Unofficially, the org chart just answered. In late September, Cindy Holland — the chief who ran Paramount+ to 81 million subscribers and greenlit Landman — exited the company effective immediately, while HBO's Casey Bloys is set to run the combined streamer. The Paramount+ boss leaves; the HBO Max boss takes the keys. That's not ambiguity, that's a eulogy with extra steps — and it tracks with the only brand commitment Ellison has ever made out loud:

"Our viewpoint is HBO should stay HBO. They built a phenomenal brand."

Nobody at Paramount has ever said "Paramount+ should stay Paramount+." MoffettNathanson's analysts expect the two-app era to be fully over by the end of 2027.

What the states extracted on the way out

The settlement that unlocked the deal is its own story — a five-year leash including:

  • A theatrical floor: 30 films a year in cinemas for two years, then 32, each with a 45-day theatrical window and at least 90 days off streaming
  • Real penalties: $30 million per missing film, plus a potential forced sale of Miramax
  • Divestiture triggers hanging over BET, VH1, Comedy Central, and Smithsonian Channel if terms are violated
  • $300 million in added U.S. production spending, and an editorial-independence board watching over CBS News and CNN

Warner Bros. Discovery shareholders get $31 a share when the deal closes Tuesday. Pricing, name, and the exact date your Paramount+ icon stops opening: all still unannounced.
